Definitions

The following terms carry specific meanings throughout this document:

• "Ayara Legal" / "We" / "Us" / "Our" — refers to Ayara Legal, a family law practice registered and operating in Chiang Mai, Thailand, at 95 Nimmanhaemin Road, Suthep, Chiang Mai 50200.
• "Client" / "You" / "Your" — refers to any individual who contacts us, engages our services, or uses our website.
• "Services" — refers to the legal consultation, agreement support, and full case representation services we offer as described in our service documentation.
• "Agreement" — refers to these Terms & Conditions in their entirety, as may be updated from time to time.
• "Website" — refers to the Ayara Legal website accessible at https://ayaralegaad.biz.
• "Engagement Letter" — a separate written document signed by both parties confirming specific scope, fees, and timeline for any retained service.

Section 2

Acceptance of Terms

By submitting an enquiry through our website, by telephone, or by email, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions.

Use of our services requires that you are at least 18 years of age and possess the legal capacity to enter into a binding agreement under Thai law.

If you are acting on behalf of another person — for example, assisting an elderly parent — you confirm that you have authority to do so and that the represented person has consented.

Section 3

Service Description

Ayara Legal provides the following family law services to clients in Thailand and those with family matters subject to Thai jurisdiction:

Precise scope, deliverables, and any adjustments to standard pricing will be confirmed in a written Engagement Letter before work begins. Services are available to clients in Thailand. Cross-border matters may be accepted on a case-by-case basis.

Section 4

Client Responsibilities

A productive working relationship depends on your cooperation in the following areas:

• Accurate information: You agree to provide complete, truthful information about your circumstances. Decisions we make on your behalf rely on what you share with us.
• Timely responses: Where your response or documents are required to progress a matter, we ask that you reply within the timeframe agreed at engagement.
• Lawful purpose: You agree to use our services only for lawful purposes and not to instruct us to act in a manner that would conflict with Thai law or professional ethics.
• Contact maintenance: You agree to keep us informed of any change in your contact details or circumstances that may be material to your matter.
• Respectful conduct: We ask that all communication with our team remain respectful. We extend the same to you in every interaction.

Section 5

Intellectual Property

All content on the Ayara Legal website — including text, design, structure, and visual elements — is the property of Ayara Legal and is protected under applicable Thai and international intellectual property law.

You are granted a limited, non-exclusive, non-transferable licence to access and view the website for personal, informational purposes only. You may not reproduce, distribute, or commercially exploit any website content without our prior written consent.

Documents and written summaries prepared for you as part of a retained service are provided for your personal use in relation to your matter. They may not be re-used commercially or shared publicly without our agreement.

Section 6

Payment Terms

Fees are set out in the Engagement Letter. The following general terms apply:

• Currency: All fees are stated and payable in Thai Baht (฿).
• Payment schedule: For the Guidance Session, full payment is required before the session takes place. For Agreement Support and Full Case services, a schedule will be agreed in writing.
• Accepted methods: Bank transfer to our designated account; further methods as confirmed at engagement.
• Cancellation and refunds: If you cancel a Guidance Session with at least 48 hours' notice, a full refund will be issued. Cancellations with shorter notice may be subject to a cancellation fee as set out in the Engagement Letter. Refunds for in-progress work will be considered individually based on work completed.
• Scope changes: If the scope of work changes materially from what was agreed, we will discuss any fee adjustment with you before proceeding.

Section 7

Confidentiality

We treat all information you share with us as strictly confidential. We will not disclose details of your matter to third parties without your consent, except where required by law, court order, or our professional obligations under Thai legal ethics rules.

Our duty of confidentiality continues after the conclusion of any engagement and is not limited to information marked as confidential.

In return, we ask that you treat any strategic advice, document templates, or internal working documents we share with you as confidential to your matter.

Section 8

Disclaimers

Legal matters involve judgment and uncertainty. While Ayara Legal brings care and professional skill to every matter, we cannot and do not make assurances about the outcome of any legal process, court decision, or negotiation.

Content on our website is provided for general informational purposes and does not constitute legal advice. Formal legal advice is only provided once an Engagement Letter is signed and the relevant service has commenced.

Our services are delivered on a best-efforts basis. We will communicate openly with you about the realistic options and likely timeframes involved in your matter.

Section 9

Limitation of Liability

To the fullest extent permitted by Thai law, Ayara Legal's aggregate liability to you in connection with any service will not exceed the total fees paid by you for that specific service.

We are not liable for any indirect, incidental, or consequential loss arising from your use of our services or reliance on information on our website, including loss of income, loss of opportunity, or emotional distress unconnected to our direct conduct.

Nothing in these terms limits our liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable Thai law.

Section 10

Indemnification

You agree to indemnify and hold harmless Ayara Legal, its practitioners, and staff from any claims, losses, or costs (including reasonable legal fees) arising from:

• Your breach of these Terms & Conditions;
• Inaccurate or misleading information provided by you in the course of a matter;
• Your use of our services in a manner not permitted by these terms.

Section 11

Termination

Either party may end the engagement at any time by providing written notice. We will inform you of the current status of your matter and hand over any documents prepared on your behalf within a reasonable time.

We reserve the right to cease acting for a client where professional ethics, court rules, or Thai law require us to withdraw — for example, where a conflict of interest arises or where instructions would require us to act improperly.

Fees for work completed up to the point of termination remain payable. These terms survive termination in all provisions relevant to completed work.

Section 12

Dispute Resolution

These Terms & Conditions are governed by the laws of the Kingdom of Thailand. Any dispute arising from or related to these terms or our services will be subject to the exclusive jurisdiction of the courts of Chiang Mai, Thailand.

Before commencing formal proceedings, we ask that both parties attempt to resolve any concern informally. Please contact us at [email protected] to discuss your concern directly. We aim to respond to all formal complaints within 10 business days.

If informal resolution is unsuccessful, either party may refer the matter to mediation before the Chiang Mai courts. We are willing to consider mediation as a constructive step.

Section 13

General Provisions

• Entire agreement: These Terms & Conditions, together with any applicable Engagement Letter, constitute the full agreement between Ayara Legal and the client regarding the matters described herein.
• Severability: If any provision of these terms is found to be unenforceable under Thai law, the remaining provisions continue in full force.
• Waiver: Our failure to enforce any provision on one occasion does not waive our right to enforce it in the future.
• Assignment: You may not assign your rights or obligations under these terms without our prior written consent. We may transfer obligations to suitably qualified practitioners within the firm.
• Notices: Formal notices under these terms should be sent by email to [email protected] or by registered post to our Chiang Mai address.
• Language: These terms are written in English. In the event of any inconsistency with a Thai-language version, the Thai-language version will prevail for the purposes of Thai law.

Section 14

Changes to These Terms

We may update these Terms & Conditions from time to time to reflect changes in our services, legal obligations, or operating practices. When we do so, we will update the "Last Updated" date at the top of this page.

For clients with an active Engagement Letter, we will notify you directly of any material changes. Continued use of our services following notification constitutes acceptance of the revised terms.
